Welcome to Rivet Finance (Rivet Fi), a cryptocurrency lending platform registered and operating under the laws of the Republic of Panama. By accessing or using our website, mobile application, or any services provided by Rivet Finance (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use our Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Rivet Finance ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Any changes will be effective upon posting the updated Terms on our website, and your continued use of the Services constitutes acceptance of those changes.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Not be a resident of a sanctioned country or listed on any restricted persons list (e.g., OFAC, UN, EU sanctions lists).
  • Have the legal capacity to enter into this agreement.

We reserve the right to refuse service to anyone at our sole discretion.

3. Services

Rivet Finance provides cryptocurrency lending and borrowing services, including but not limited to:

  • Using cryptocurrency collateral as margin for derivative transactions to reduce line of credit funding costs.
  • Borrowing cryptocurrency using eligible collateral.
  • Managing your account via our platform.

All Services are subject to availability, and we may suspend or discontinue any feature at our discretion with or without notice.

4. Account Registration

To access our Services, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities conducted through your account.
  • Notifying us immediately of any unauthorized use of your account.

We may terminate or suspend your account if we suspect fraudulent activity or a violation of these Terms.

5. Collateral Deposits and Withdrawals

  • Deposits: You may deposit supported cryptocurrency collateral into a Fireblocks wallet. We are not responsible for losses due to incorrect wallet addresses provided by you.
  • Withdrawals: Withdrawals are processed according to our policies and may be subject to verification, fees, and minimum/maximum limits.
  • Risk Warning: Cryptocurrency transactions are irreversible. Ensure all details are correct before initiating a transaction.

6. Borrowing

  • Borrowing: You may borrow cryptocurrency by providing eligible collateral as determined by Rivet Finance. Failure to repay loans on time may result in the liquidation of your collateral.
  • Risk: Lending and borrowing cryptocurrencies involve significant risks, including market volatility and potential loss of funds. You assume all such risks.

7. Fees

Our Services may incur fees, including but not limited to transaction fees, withdrawal fees, and interest charges. A detailed fee schedule is available on our website. Fees are subject to change without prior notice.

8. User Responsibilities

You agree to:

  • Use our Services in compliance with applicable laws, including Panamanian regulations and those of your jurisdiction.
  • Not engage in illegal activities, such as money laundering, fraud, or financing terrorism.
  • Provide accurate tax-related information if required by law.

9. Prohibited Activities

You may not:

  • Use the Services to engage in market manipulation or unlawful conduct.
  • Attempt to hack, interfere with, or disrupt our platform.
  • Create multiple accounts to exploit promotions or bypass restrictions.

Violations may result in account suspension, forfeiture of funds, and legal action.

10. Risk Disclosure

Cryptocurrency markets are highly volatile, and the value of your assets may fluctuate significantly. Rivet Finance is not liable for losses due to:

  • Failure to pay according to the terms of the Borrower Agreement.
  • Hacking or security breaches beyond our control.
  • Regulatory changes affecting cryptocurrency use.
  • Network transaction fees in excess of the refund amount.

You acknowledge that past performance is not indicative of future results.

11. Privacy

Your use of our Services is governed by our Privacy Policy, available on our website. By using our Services, you consent to the collection, use, and sharing of your data as outlined therein.

12. Intellectual Property

All content, trademarks, and technology on our platform are the property of Rivet Finance or its licensors. You may not copy, modify, or distribute our intellectual property without written permission.

13. Termination

We may terminate or suspend your access to the Services at our discretion, with or without cause, including for violations of these Terms. Upon termination, any outstanding loans must be repaid, and remaining funds will be returned to you, subject to applicable fees and legal obligations.

14. Limitation of Liability

To the fullest extent permitted by law, Rivet Finance, its affiliates, and employees shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services. Our total liability shall not exceed the fees paid by you in the preceding 12 months.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Panama. Any disputes shall be resolved through binding arbitration in Panama City, Panama, in accordance with the rules of the Panama Conciliation and Arbitration Center. You waive any right to participate in class action lawsuits.

16. Force Majeure

We are not liable for delays or failures in performance due to events beyond our control, including natural disasters, cyberattacks, or government actions.
